Share Purchase Plan (SPP)


Little Green Pharma Ltd’s (“LGP” or the “Company”) Share Purchase Plan offer (“SPP or Offer”) is open to persons (“eligible shareholders”) who held ordinary shares in the Company with a registered Australian or New Zealand address as at 5pm (AWST) on Tuesday 1 November 2022 (“Record Date”).

Eligible shareholders may apply under the SPP for between $2,500 and $30,000 worth of new ordinary shares in the Company (“Shares”) at the same price as the recent Placement to LGP institutional and sophisticated investors, being $0.20 per Share. In addition, the Offer includes one free-attaching unquoted option (“Option”), exercisable at $0.25 within 18 months from the date of issue of the Option, for every Share issued under the SPP. The SPP Shares and Options (“SPP Securities”) are being offered pursuant to a prospectus under Chapter 6D of the Corporations Act (“Prospectus”).

In addition, participants in the Placement that settled on 9 November 2022 are also entitled to subscribe for free-attaching Options which are also offered pursuant to the Prospectus.

The SPP and Placement Option Offers open on Monday 21 November 2022 and close at 5pm (AWST) on Monday 19 December 2022 (“Closing Date”).

Guidance on applying for SPP Securities

Applying and paying for SPP Securities is a simple two-step process.

Step 1: First review the Prospectus and Target Market Determination (TMD).

Step 2: Apply for your SPP Securities

You will then need to generate a personalised application form containing a unique BPAY® or EFT reference number personal to you, by going to www.computersharecas.com.au/LGPSPP Note you will need your HIN or SRN number for your current LGP shareholding (see below for further details in relation to these) to complete the personalized application form. 
Please note that your personalised application form will not be separately dispatched by email or post and will need to be generated through the website above.

Once you’ve generated your personalised application form and unique BPAY® or EFT number, you can apply for SPP Securities as follows:

  • If you are an eligible shareholder registered in Australia, by using BPAY® through your relevant bank or financial institution. Please submit your payment referencing your BPAY® reference number found on your personalised application form; or
  • If you are an eligible shareholder registered in New Zealand, by making an EFT payment through your relevant bank or financial institution. Please submit your payment by referencing your EFT reference number found on your personalised application form.

In each case there is no need to separately submit your personalised application form or other information to the Company or its registry, Computershare. Please note all applications for SPP Shares must be for one of the SPP Application Amounts below and all subscription funds must be received before the Closing Date.

Guidance on applying for Placement Options

The offer of Placement Options is only available to Placement participants. Persons entitled to apply for Options under the Placement Options offer should complete and submit the relevant application form separately circulated to them. Completed application forms for Placement Options must be returned to the address set out on the application form no later than the Closing Date.

No subscription monies are payable for Options offered under the Placement Options offer as the Options are being issued on the basis of one free attaching Option for every Share subscribed for and issued under the Placement.

What if l can't locate my SRN or HIN?

Your SRN consists of the letter ‘I’ or ‘N followed by ten numbers (e.g. I0012345678, N0012345678) and can commonly be found on holding statements or payment advices previously sent to you. If you cannot locate your SRN you can call the share registry’s investor services representatives on 1300 850 505 for one to be issued to you. Please note a fee may be charged for a replacement.

A Holder Identification Number (HIN) links your personal details to your investments on CHESS or Broker Sponsored holdings. It consists of the letter ‘X’ or ‘L' followed by ten numbers e.g. X0012345678, L0012345678 and can commonly be found on holding statements or payment advices previously sent to you. If you don’t have your HIN you will need to contact your broker who will assist you.

How do l receive important communications from LGP electronically?

Please note the default communication preference for ASX shareholders is by post, however LGP is strongly encouraging all of its shareholders to sign-up to receive communications electronically by email. This is not only good for the environment but will help save the Company printing and mailing costs.

How do I apply for SPP securities?

  1. To apply for SPP securities, you must first review the Prospectus and Target Market Determination (TMD) linked at the top of this website.

  2. Then, click on www.computersharecas.com.au/LGPSPP and follow the prompts to generate a personalised application form containing a unique BPAY® reference number (for Australian registered shareholders) or a unique Electronic Funds Transfer (EFT) reference number (for New Zealand registered shareholders).
    To generate your personalised application form and reference number, you will need your SRN or HIN and the post-code (if in Australia) or country of residence (if outside Australia) in respect of which your shares are registered. See above for how to locate your SRN or HIN.

  3. Once you have generated your unique BPAY® or EFT reference number, you can use this number to purchase your SPP Securities using BPAY® or EFT payment systems as applicable.
    Further details around how to pay using BPAY® or EFT will be set out in your personalised application form. Please note you are not required to also submit a completed application form or other documents in order to complete your subscription.

How many SPP Securities can l apply for?

You can apply for between $2,500 and up to $30,000 of ordinary shares at a price of $0.20 per share. Please also note applications for shares must in one of the following amounts:

I've lost my personalised application form after I generated it, how do I get a new one?

If you have lost or misplaced your personalised application form after you have generated it through the www.computersharecas.com.au/LGPSPP website, you can find your personalised application form and unique BPAY® or EFT reference number by simply logging back onto the www.computersharecas.com.au/LGPSPP site which will recognise your earlier application.

How do I find my HIN or SRN number?

Your HIN or SRN number will be located towards the top of your most recent Holding Statement from the Company.

What is a HIN or SRN?

Your LGP shares are digitally registered under either a Holder Identification Number or HIN (where held with a stockbroker) or a Security Reference Number or SRN (where held by the Company registry).

To work out whether your LGP shares are held on HIN or SRN, look at the first character of your SRN/HIN number on your most recent Holding Statement:

• An "X” indicates your LGP shares are held on CHESS under a HIN with a stockbroker.

• An "I” indicates your LGP shares are held Issuer Sponsored under an SRN with Computershare.

If you hold your LGP shares on CHESS, then your stockbroker should be your first point of contact for any queries regarding your holdings. They can liaise with the registry on your behalf and can confirm the number of LGP shares you hold on that HIN.

If you hold shares Issuer Sponsored then you will need to contact Computershare for matters related to your holdings (e.g. address changes, confirm holdings etc.)

Why is LGP raising funds under SPP?

The Company is raising funds under the SPP (together with the funds already raised under its recent Placement) for its sales and marketing activities in Europe and Australia as well as to fund general working capital for the Company and to pay the costs of SPP offer.

I'm physically located outside of Australia, can l still apply for SPP Securities?

Only eligible shareholders whose shareholdings are registered within an Australian or New Zealand address can apply for SPP Securities under the Offer. However, if you are currently physically located outside Australia and New Zealand but meet the above qualification, then you can still apply.

My existing LGP shareholding is registered at an address outside of Australia and New Zealand, can l still apply for SPP Securities?

Unfortunately, the SPP Offer is only available to eligible shareholders with LGP shareholdings registered with an Australian or New Zealand address on the Record Date. If your LGP shareholders are registered with an address outside of Australia or New Zealand, you will not be able to participate in the SPP Offer.
